These Terms & Conditions (“Terms”) govern your access to and use of the website, services, proposals, quotations, consultancy, projects and other services offered by Pro Digitech (“Pro Digitech”, “we”, “us” or “our”).

By accessing our website, requesting a quotation, submitting an enquiry, engaging our services, accepting a proposal, making a payment, instructing us to commence work, or otherwise entering into a business relationship with Pro Digitech, you acknowledge that you have read, understood and agreed to these Terms.

If you are entering into an agreement on behalf of a company, organisation or other legal entity, you confirm that you have authority to bind that entity.

These Terms should be read together with any applicable quotation, proposal, statement of work, invoice, service agreement, project specification, privacy policy or other written document issued or accepted by Pro Digitech.


1. ABOUT PRO DIGITECH

Pro Digitech is a UAE-based commercial business operating under its applicable commercial licence and providing services within its authorised activities.

  • Web-Design & Development
  • Digital Marketing
  • E-Commerce Services
  • Commercial Brokerage Services

The descriptions of services on our website are customer-facing service categories and should not be interpreted as representing additional professional, financial, legal, governmental or regulated licences beyond those stated above.

Unless separately confirmed in writing and supported by the required regulatory authorisation, Pro Digitech does not represent itself as a bank, financial institution, investment adviser, financial adviser, law firm, legal consultancy, audit firm, tax agency, accounting firm, insurance company, government authority, immigration authority, payment service provider, money-transfer business or regulated financial intermediary.


2. DEFINITIONS

For these Terms:

“Client” means any person, company or organisation that requests, purchases or receives services from Pro Digitech.

“Services” means any consultancy, assistance, development, marketing, eCommerce, commercial brokerage, administrative, coordination or other services agreed between Pro Digitech and the Client.

“Third-Party Provider” means any independent government authority, free zone, bank, financial institution, hosting provider, software provider, marketplace, advertising platform, payment provider, professional adviser, supplier, consultant or other independent third party.

“Proposal” includes a quotation, statement of work, written scope, service order or other document describing the Services.

“Deliverables” means the work products specifically identified as deliverables in the applicable Proposal or written agreement.

“Website” means Pro Digitech’s website and any related landing pages, forms or digital properties operated by Pro Digitech.


3. SCOPE OF SERVICES

Pro Digitech currently organises its customer-facing services under the following principal categories:

  1. Company Formation
  2. Website Development & Designing
  3. Digital Marketing
  4. eCommerce Services
  5. VAT, Tax Filing & Accounting
  6. Banking & Compliance

These service categories do not mean that Pro Digitech holds a separate regulatory or professional licence corresponding to every service heading.

Services are provided only to the extent permitted under Pro Digitech’s applicable licensed activities, or, where appropriate, with assistance from or coordination with independent appropriately qualified or licensed Third-Party Providers.

The exact scope of every engagement will be determined by the applicable quotation, Proposal, invoice, service agreement or other written confirmation.

Any service not expressly included in the agreed scope shall be considered additional work and may be subject to additional fees.


PART I — SERVICE-SPECIFIC TERMS

4. COMPANY FORMATION & BUSINESS SETUP SERVICES

Company Formation services are provided primarily in connection with Pro Digitech’s Management Consultancies activities.

Depending on the agreed scope, Pro Digitech may provide:

  • Business setup consultancy;
  • Company formation consultancy;
  • Business-structure guidance;
  • Mainland and Free Zone setup assistance;
  • Trade licence application coordination;
  • Documentation assistance;
  • Company-registration assistance;
  • Administrative support;
  • Government-process coordination;
  • PRO-related coordination;
  • Visa and immigration-process coordination where applicable;
  • Establishment and immigration-related administrative coordination;
  • Assistance communicating with free zones and other service providers; and
  • Related business setup consultancy.

4.1 Government Authority Disclaimer

Pro Digitech provides consultancy, administrative assistance and coordination in connection with company formation and business setup processes.

Pro Digitech does not issue trade licences, visas, permits or governmental approvals.

Final approvals, licences, permits, visas, registrations and other governmental decisions remain under the sole authority and discretion of the relevant UAE government entity, free zone, immigration authority, regulator or other competent authority.

4.2 No Guarantee of Approval

Pro Digitech does not guarantee:

  • Trade licence approval;
  • Company-registration approval;
  • Business activity approval;
  • Trade-name approval;
  • Visa approval;
  • Immigration approval;
  • Establishment-card approval;
  • Quota approval;
  • Government clearance;
  • Regulatory approval;
  • Any specific processing period; or
  • Acceptance of any individual, shareholder, director, manager, employee or business activity.

Government requirements, eligibility criteria, documentary requirements, fees and procedures may change without notice.

4.3 Client Documentation

The Client is responsible for providing complete, genuine, accurate and current documents and information.

Pro Digitech may rely on information provided by the Client without independently verifying every statement unless verification forms part of the agreed scope.

If applications are delayed, rejected, suspended or cancelled because of incorrect, incomplete, misleading, expired or inconsistent information supplied by the Client, Pro Digitech shall not be responsible for the resulting decision or delay except to the extent required by applicable law.


5. WEBSITE DEVELOPMENT & DESIGNING

Website Development & Designing services correspond with Pro Digitech’s licensed activity of Web-Design & Development.

Services may include:

  • Website design;
  • Website development;
  • WordPress development;
  • Corporate websites;
  • Landing pages;
  • eCommerce websites;
  • UI/UX-related design;
  • Website redesign;
  • Website optimization;
  • Website maintenance;
  • Website migration;
  • Technical integrations;
  • Plugin configuration;
  • API or third-party integrations where agreed;
  • Responsive implementation; and
  • Other related Web-Design & Development services.

5.1 Project Scope

The Client shall review the Proposal carefully before commencement.

Any functionality, page, integration, design variation, content production or other work not included within the agreed scope may require an additional quotation.

5.2 Client Approvals

The Client is responsible for reviewing and approving designs, content, layouts, features and Deliverables within a reasonable period.

Where the Client approves a design or development stage, later changes to previously approved work may constitute additional work.

5.3 Content

Unless specifically included in writing, the Client is responsible for providing:

  • Text;
  • Logos;
  • Photographs;
  • Videos;
  • Product information;
  • Legal notices;
  • Policies;
  • Business information;
  • Pricing information; and
  • Other required content.

The Client represents that it has the right to use all materials supplied to Pro Digitech.

5.4 Revisions

The number and nature of included revisions shall be determined by the Proposal.

Unlimited revisions are not included unless expressly confirmed in writing.

Substantial changes to an approved concept, scope, structure or functionality may be quoted separately.

5.5 Third-Party Technology

Websites may depend upon third-party software, themes, plugins, APIs, payment gateways, hosting services, content-delivery networks, analytics tools or other technology.

Pro Digitech cannot guarantee the continuous availability, compatibility, security or future operation of independent third-party technologies.

Changes introduced by third-party providers after project delivery may require additional maintenance or development work.

5.6 Hosting, Domains and Software Licences

Unless expressly included, hosting, domains, SSL certificates, premium plugins, premium themes, software subscriptions, API charges and other third-party fees are not included in development fees.

Clients remain responsible for renewing services registered in their own name.

5.7 Browser and Device Compatibility

Pro Digitech will use commercially reasonable efforts to develop websites for commonly used modern browsers and devices according to the agreed scope.

Identical appearance across every browser, operating system, device size or future software version cannot be guaranteed.

5.8 Website Security

No website, server or online system can be guaranteed to be completely secure or continuously available.

Following handover, the Client is responsible for maintaining appropriate hosting, software updates, passwords, backups, security practices and ongoing maintenance unless a maintenance service has been separately agreed.


6. DIGITAL MARKETING SERVICES

Digital Marketing services correspond with Pro Digitech’s licensed activity of Digital Marketing.

Services may include:

  • Google Ads;
  • PPC advertising;
  • Meta advertising;
  • Facebook advertising;
  • Instagram advertising;
  • Search marketing;
  • SEO;
  • Social media marketing;
  • Content marketing;
  • Lead generation;
  • Campaign management;
  • Conversion optimisation;
  • Performance marketing;
  • Analytics;
  • Reporting; and
  • Related marketing consultancy.

6.1 No Performance Guarantee

Advertising and marketing outcomes depend on numerous factors outside Pro Digitech’s direct control.

Pro Digitech therefore does not guarantee:

  • A specific number of leads;
  • A specific number of sales;
  • Revenue;
  • Profit;
  • Return on investment;
  • Return on advertising spend;
  • Cost per acquisition;
  • Cost per lead;
  • Conversion rate;
  • Website traffic;
  • Search-engine ranking;
  • First-page ranking;
  • Specific keyword positions;
  • Social media followers;
  • Engagement levels; or
  • Any other specific marketing result.

Any forecasts, projections, estimates, industry benchmarks or expected results are indicative only unless expressly guaranteed in a separate written agreement.

6.2 Advertising Platform Decisions

Google, Meta and other advertising platforms independently control their:

  • Advertising policies;
  • Account approvals;
  • Identity verification;
  • Advertiser verification;
  • Campaign review;
  • Advertisement approval;
  • Advertisement rejection;
  • Account suspension;
  • Account termination;
  • Billing systems;
  • Algorithm changes;
  • Targeting functionality; and
  • Platform availability.

Pro Digitech is not responsible for independent decisions made by such platforms.

6.3 Advertising Spend

Unless stated otherwise, media spend, advertising budgets and platform charges are separate from Pro Digitech’s professional management fees.

The Client is responsible for advertising spend charged by advertising platforms.

6.4 Search Engine Optimisation

Search engines independently control their algorithms, indexing systems and rankings.

SEO work can improve technical quality, relevance and visibility but no specific ranking position or ranking duration is guaranteed.

6.5 Client Responsibility

The Client is responsible for ensuring that its products, services, claims, offers, prices and advertising materials comply with applicable laws and relevant advertising-platform policies.


7. ECOMMERCE SERVICES

eCommerce Services correspond with Pro Digitech’s licensed activity of E-Commerce Services.

Services may involve consultancy, setup, technical assistance and management relating to:

  • Shopify;
  • WooCommerce;
  • Amazon;
  • Noon;
  • eBay;
  • Online stores;
  • Marketplace setup;
  • Product listings;
  • Product uploads;
  • Store configuration;
  • Store optimisation;
  • Marketplace management;
  • eCommerce consultancy;
  • Payment gateway integration;
  • Shipping integrations; and
  • Related eCommerce activities.

7.1 Marketplace Independence

Third-party marketplaces and platforms independently determine:

  • Seller eligibility;
  • Seller verification;
  • Account approval;
  • Product approval;
  • Product removal;
  • Marketplace restrictions;
  • Listing visibility;
  • Account suspension;
  • Account termination;
  • Payment release;
  • Payment reserves;
  • Seller-performance requirements; and
  • Platform policies.

Pro Digitech does not control these decisions.

7.2 No Marketplace Approval Guarantee

Pro Digitech does not guarantee:

  • Seller-account approval;
  • Marketplace approval;
  • Product-listing approval;
  • Product ranking;
  • Sales volume;
  • Buy Box eligibility;
  • Account continuity;
  • Marketplace payment release; or
  • Continued availability of any marketplace feature.

7.3 Products and Compliance

The Client remains responsible for ensuring that its products, descriptions, pricing, intellectual property, licences, permits, warranties, returns, shipping arrangements and commercial operations comply with applicable laws and platform requirements.


8. VAT, TAX FILING & ACCOUNTING SUPPORT

The website may present services under the customer-facing heading VAT, Tax Filing & Accounting.

This heading must not be interpreted as representing that Pro Digitech is automatically licensed or regulated as a tax agent, accounting firm, audit firm, tax consultancy or financial advisory firm.

Depending on the agreed scope and Pro Digitech’s permitted activities, assistance may include:

  • Administrative assistance;
  • Business consultancy;
  • Documentation support;
  • Record coordination;
  • VAT-related administrative support;
  • Tax-document preparation assistance;
  • Bookkeeping coordination;
  • Accounting-support coordination;
  • Organisation of business records;
  • Assistance communicating with appropriate service providers; and
  • Introductions to independent qualified professionals.

8.1 Regulated or Professional Work

Certain accounting, taxation, audit or regulated professional services, where applicable, may require engagement with appropriately qualified or licensed Third-Party Providers.

Pro Digitech’s role in such circumstances may be limited to consultancy, administrative assistance, documentation support, coordination or introductions depending upon the agreed scope.

Where work legally requires a particular professional qualification, registration or regulatory authorisation, such work should be performed by the appropriately qualified provider rather than being treated as an independently regulated service of Pro Digitech unless Pro Digitech has separately obtained and verified that authorisation.

8.2 Client Responsibility

The Client remains responsible for:

  • Providing accurate financial information;
  • Maintaining legally required books and records;
  • Reviewing returns and submissions;
  • Confirming figures;
  • Meeting applicable filing and payment deadlines; and
  • Obtaining specialist tax, accounting, audit or legal advice when required.

8.3 No Tax or Regulatory Outcome Guarantee

Pro Digitech does not guarantee:

  • Acceptance of any tax registration;
  • Tax authority approval;
  • Refund approval;
  • Tax treatment;
  • Tax assessment outcomes;
  • Penalty waivers;
  • Audit outcomes; or
  • Any other regulatory determination.

Any government authority retains independent control over its own decisions.


9. BANKING & COMPLIANCE SUPPORT

Banking & Compliance is a customer-facing service category that may involve consultancy, documentation assistance and coordination support associated with Pro Digitech’s permitted activities.

Pro Digitech is not a bank or financial institution and does not make banking approval decisions.

Banking services are provided independently by the relevant bank or financial institution.

Depending on the agreed scope, Pro Digitech may provide:

  • Business bank-account application assistance;
  • Banking documentation support;
  • KYC documentation preparation assistance;
  • Corporate-document coordination;
  • Compliance-document support;
  • Bank introductions;
  • Administrative coordination;
  • Source-of-funds documentation assistance;
  • Source-of-wealth documentation assistance;
  • Corporate verification support; and
  • Related business consultancy and coordination.

9.1 Independent Banking Decisions

Banks and financial institutions independently determine:

  • Customer eligibility;
  • KYC requirements;
  • Due-diligence requirements;
  • Documentation requirements;
  • Risk classification;
  • Account approval;
  • Account rejection;
  • Processing time;
  • Account restrictions;
  • Account closure; and
  • Availability of banking products.

9.2 No Banking Guarantee

Pro Digitech does not guarantee:

  • Bank-account approval;
  • Account opening;
  • A particular bank;
  • Processing time;
  • Continued account operation;
  • Loans;
  • Credit facilities;
  • Debit cards;
  • Credit cards;
  • Merchant facilities;
  • Payment gateways;
  • International transfers;
  • Financing; or
  • Any other banking or financial product.

9.3 No Financial Advice

Unless separately licensed and expressly agreed, information provided in connection with banking assistance should not be interpreted as investment, financial, credit or regulated financial advice.

Clients should obtain specialist independent professional advice where necessary.


10. COMMERCIAL BROKERAGE SERVICES

Commercial Brokerage Services is one of Pro Digitech’s licensed activity categories.

Where separately agreed, Pro Digitech may act as a commercial intermediary or facilitate commercial introductions between Clients and independent third parties.

Services may include:

  • Business introductions;
  • Commercial introductions;
  • Vendor introductions;
  • Supplier introductions;
  • Service-provider introductions;
  • Referral arrangements;
  • Business opportunity introductions;
  • Commercial coordination;
  • Negotiation assistance where permitted; and
  • Connecting Clients with independent Third-Party Providers.

10.1 Nature of Commercial Brokerage

Commercial Brokerage Services do not automatically constitute:

  • Financial brokerage;
  • Investment brokerage;
  • Securities brokerage;
  • Insurance brokerage;
  • Real-estate brokerage; or
  • Any other separately regulated brokerage activity.

Nothing in these Terms should be interpreted as representing that Pro Digitech holds any such specialised regulatory licence unless separately verified.

10.2 Independent Third Parties

Unless expressly agreed otherwise in writing, a Third-Party Provider introduced by Pro Digitech remains independently responsible for:

  • Its products;
  • Its services;
  • Its quotations;
  • Its pricing;
  • Its contractual obligations;
  • Its licences;
  • Its regulatory compliance;
  • Its representations;
  • Its warranties; and
  • Its performance.

Where a Client enters directly into an agreement with a Third-Party Provider, Pro Digitech shall not automatically become a party to that underlying agreement.

10.3 Brokerage, Referral and Introduction Fees

Where legally permitted and applicable, Pro Digitech may receive:

  • Brokerage fees;
  • Referral fees;
  • Introduction fees;
  • Commissions; or
  • Service fees

in connection with commercial introductions, referrals or transactions.

The applicable arrangement may be recorded in a quotation, Proposal, invoice, brokerage agreement, referral agreement, service agreement or another written document.

Where the Client is responsible for paying a brokerage, referral or introduction fee, the amount or method of calculation shall be agreed in writing.

No commission percentage should be assumed unless specifically agreed.


PART II — GENERAL COMMERCIAL TERMS

11. QUOTATIONS, PROPOSALS AND SERVICE ORDERS

Quotations and Proposals are valid for the period stated within them.

If no validity period is stated, Pro Digitech may revise a quotation before acceptance if third-party charges, government fees, supplier pricing, exchange rates or project requirements change.

A Client’s acceptance may occur through:

  • Written confirmation;
  • Electronic acceptance;
  • Signing a Proposal;
  • Making the required payment;
  • Issuing instructions to proceed; or
  • Any other method agreed between the parties.

The Proposal and these Terms together form the basis of the service relationship unless replaced by a separately signed agreement.


12. ORDER OF PRECEDENCE

If there is a conflict between different documents governing a project, the following order will generally apply unless expressly agreed otherwise:

  1. A specifically negotiated and signed service agreement;
  2. A specifically accepted Proposal or statement of work;
  3. The applicable quotation or invoice;
  4. These Terms.

A document dealing specifically with a matter will generally take precedence over a general provision concerning the same matter.


13. FEES AND PAYMENT

The Client shall pay the fees set out in the applicable quotation, invoice, Proposal or agreement.

Pro Digitech may require:

  • Full advance payment;
  • A deposit;
  • Milestone payments;
  • Monthly retainers;
  • Recurring payments; or
  • Another agreed payment structure.

Work may be scheduled or commenced only after receipt of the required payment.

13.1 Late Payment

Where an invoice becomes overdue, Pro Digitech may, to the extent permitted by applicable law:

  • Suspend Services;
  • Pause Deliverables;
  • Withhold further work;
  • Restrict access to unpaid Deliverables; or
  • Terminate the applicable engagement following reasonable notice.

13.2 No Set-Off

Unless required by applicable law or agreed in writing, payments should be made without unauthorised deduction or set-off.


14. GOVERNMENT AND THIRD-PARTY FEES

Professional service fees charged by Pro Digitech may be separate from:

  • Government charges;
  • Free-zone charges;
  • Visa fees;
  • Immigration charges;
  • Medical examination charges;
  • Emirates ID-related charges;
  • Establishment-card charges;
  • Bank fees;
  • Hosting charges;
  • Domain fees;
  • Advertising spend;
  • Software licences;
  • Plugin licences;
  • Marketplace fees;
  • Payment gateway fees;
  • Courier charges;
  • Translation fees;
  • Attestation charges;
  • Third-party professional fees; and
  • Other external costs.

Unless expressly stated otherwise, such third-party charges are payable separately.

Third-party and government fees may change without notice, and Pro Digitech cannot guarantee pricing controlled by independent parties.


15. TAXES

Fees are subject to VAT or other applicable taxes where legally required.

The Client is responsible for any taxes, duties or charges properly payable in connection with the Services except taxes imposed directly on Pro Digitech’s own income where applicable.


16. CANCELLATIONS AND REFUNDS

Cancellation and refund eligibility depends on:

  • The relevant service;
  • Work already performed;
  • Resources already allocated;
  • Third-party commitments;
  • Government applications already submitted;
  • Non-refundable third-party charges; and
  • The specific Proposal or agreement.

16.1 Work Already Performed

Where Pro Digitech has commenced work before cancellation, reasonable fees relating to work already performed may remain payable to the extent permitted by applicable law.

16.2 Third-Party and Government Payments

Amounts already paid to government entities, free zones, banks, software providers, advertising platforms, hosting providers, marketplaces or other Third-Party Providers may be non-refundable according to the relevant provider’s rules.

Pro Digitech cannot guarantee a refund of money already transferred to an independent third party.

16.3 Consumer Rights

Nothing in these Terms is intended to remove any mandatory cancellation, refund or consumer right that cannot legally be excluded under applicable law.

Any service-specific refund terms stated in an accepted Proposal shall also apply.


17. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide accurate and complete information;
  • Supply requested documentation promptly;
  • Ensure documents are authentic and legally valid;
  • Review applications and Deliverables before approval;
  • Respond to requests within a reasonable period;
  • Obtain internal approvals where required;
  • Make payments when due;
  • Maintain appropriate backups;
  • Secure login credentials;
  • Comply with applicable laws;
  • Avoid instructing Pro Digitech to perform unlawful activities; and
  • Notify Pro Digitech promptly of material changes affecting the Services.

The Client remains responsible for final business decisions made using Pro Digitech’s consultancy or assistance.


18. ACCURACY OF INFORMATION

Pro Digitech may rely upon information supplied by the Client.

The Client must immediately notify Pro Digitech if any submitted information changes or becomes inaccurate.

Pro Digitech shall not be responsible for consequences resulting from fraudulent, forged, misleading, incomplete, inaccurate or outdated information supplied by the Client except where applicable law provides otherwise.

Pro Digitech reserves the right to refuse, suspend or terminate Services if it reasonably suspects that information or documentation may be unlawful, fraudulent or materially misleading.


19. COMPLIANCE, KYC AND DUE DILIGENCE

Where appropriate to the Services, Pro Digitech may request documents or information relating to:

  • Identity;
  • Ownership;
  • Beneficial ownership;
  • Business activities;
  • Source of funds;
  • Source of wealth;
  • Corporate structure;
  • Authorised representatives; or
  • Other compliance information.

Pro Digitech may decline or suspend an engagement if requested documentation is not supplied or where proceeding may expose Pro Digitech to legal, regulatory, reputational or compliance concerns.

Such requests do not mean that Pro Digitech acts as a financial institution or regulatory authority.


20. THIRD-PARTY SERVICES

Pro Digitech may communicate or coordinate with independent Third-Party Providers including:

  • Free zones;
  • Government-service providers;
  • Banks;
  • Financial institutions;
  • Payment providers;
  • Technology companies;
  • Hosting providers;
  • Software vendors;
  • Advertising platforms;
  • Marketplaces;
  • Accounting professionals;
  • Tax professionals;
  • Compliance providers;
  • Suppliers;
  • Consultants;
  • Contractors; and
  • Commercial partners.

Third parties independently control their own:

  • Decisions;
  • Pricing;
  • Policies;
  • Procedures;
  • Systems;
  • Processing times;
  • Eligibility requirements;
  • Services; and
  • Performance.

Pro Digitech is not responsible for independent third-party acts, omissions, approvals, refusals, delays, system failures, policy changes or service quality except where responsibility cannot lawfully be excluded or Pro Digitech has expressly accepted responsibility in writing.


21. SERVICE TIMELINES

Any estimated completion, processing or delivery period is an estimate unless expressly described as a guaranteed deadline in writing.

Timelines may depend upon:

  • Client responses;
  • Document availability;
  • Government authorities;
  • Banks;
  • Free zones;
  • Suppliers;
  • Advertising platforms;
  • Software providers;
  • Marketplaces;
  • Hosting providers;
  • Technical dependencies; or
  • Other third parties.

Pro Digitech shall use reasonable efforts to perform Services according to agreed timelines but cannot guarantee processing periods controlled by independent parties.


22. CLIENT DELAYS

If the Client does not provide required information, approvals, content, credentials, documentation or feedback, project timelines may be extended.

Where a project remains inactive for an extended period because of Client delay, Pro Digitech may require:

  • Rescheduling;
  • Reconfirmation of scope;
  • Updated pricing;
  • Payment of outstanding amounts; or
  • A project reactivation fee where previously agreed or reasonably communicated.

23. INTELLECTUAL PROPERTY

23.1 Client Materials

The Client retains ownership of intellectual property it lawfully owned before providing it to Pro Digitech.

The Client grants Pro Digitech permission to use Client-supplied materials solely as reasonably necessary to perform the Services.

23.2 Pro Digitech Materials

Pre-existing intellectual property belonging to Pro Digitech, including processes, methodologies, templates, reusable code, systems, frameworks, know-how and internal tools, remains the property of Pro Digitech unless expressly transferred in writing.

23.3 Project Deliverables

Ownership or licence rights in custom Deliverables will be determined by the applicable Proposal.

Where transfer of custom intellectual property has been agreed, such transfer may be conditional upon full payment of all applicable project fees.

23.4 Third-Party Materials

Third-party themes, plugins, fonts, stock assets, software, APIs and other licensed materials remain subject to their own licensing terms.

Pro Digitech cannot transfer intellectual-property rights that it does not own.


24. PORTFOLIO USE

Unless otherwise agreed in writing or restricted by confidentiality obligations, Pro Digitech may request permission to identify completed public-facing design or development work in its portfolio.

Where confidentiality or white-label arrangements apply, those written arrangements will take precedence.


25. CONFIDENTIALITY

Each party should treat confidential business information received from the other party as confidential and use it only for legitimate purposes connected with the engagement.

Confidential information does not generally include information that:

  • Is publicly available without breach;
  • Was lawfully known before disclosure;
  • Is received lawfully from another source; or
  • Must be disclosed by law or competent authority.

Specific non-disclosure agreements may supplement this section.


26. PERSONAL DATA AND PRIVACY

Personal information received through the Website or during the provision of Services will be handled in accordance with Pro Digitech’s applicable Privacy Policy and applicable data-protection requirements.

Clients must ensure they have a lawful basis for providing personal information belonging to employees, shareholders, directors, customers or other individuals where such information is required for the Services.

The Privacy Policy should be read separately from these Terms.


27. ACCOUNT CREDENTIALS AND SECURITY

Where a Client provides access to:

  • WordPress;
  • Hosting;
  • Domain accounts;
  • Advertising accounts;
  • Analytics;
  • Social media;
  • Marketplaces;
  • Email systems;
  • Payment gateways; or
  • Other third-party platforms,

the Client authorises Pro Digitech to access those systems only as reasonably necessary to perform the agreed Services.

Clients should use appropriate access controls and revoke unnecessary access after completion of the engagement.

Pro Digitech will not request authority to use Client accounts for unrelated purposes.


28. COMMUNICATIONS AND ELECTRONIC INSTRUCTIONS

The parties may communicate through email, telephone, WhatsApp, online forms, project-management systems or other agreed electronic methods.

The Client is responsible for ensuring that contact information remains current.

Pro Digitech may reasonably rely upon instructions received from contact details supplied or authorised by the Client unless there is reason to suspect unauthorised use.

Electronic acceptance, electronic communications and electronic documentation may be used in connection with the Services where legally permitted.


29. WARRANTIES AND SERVICE STANDARD

Pro Digitech will use reasonable professional care in performing Services within the agreed scope.

Except for warranties expressly stated in writing or rights that cannot legally be excluded, no additional warranty should be inferred regarding:

  • Government approval;
  • Bank approval;
  • Commercial success;
  • Revenue;
  • Marketing performance;
  • Marketplace approval;
  • Search rankings;
  • Software uptime;
  • Third-party performance; or
  • Regulatory outcomes.

30. NO PROFESSIONAL OR REGULATORY ASSUMPTION

Information supplied by Pro Digitech within its consultancy activities should be interpreted according to the agreed scope.

Nothing on the Website or within general communications should automatically be interpreted as:

  • Legal advice;
  • Regulated financial advice;
  • Investment advice;
  • Audit opinion;
  • Regulated tax-agent advice;
  • Government advice; or
  • A guarantee by a regulatory authority.

Where specialist regulated advice is required, the Client should engage an appropriately qualified professional.

Pro Digitech may assist in arranging or facilitating such an introduction where appropriate.


31. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Pro Digitech shall not be liable for indirect, incidental, special or consequential losses arising from matters outside the agreed scope or from independent third-party actions.

This may include, where legally permissible:

  • Loss of anticipated profit;
  • Loss of opportunity;
  • Loss resulting from third-party platform suspension;
  • Loss caused by government rejection;
  • Loss caused by banking rejection;
  • Marketplace suspension;
  • Advertising-platform suspension;
  • Search-engine algorithm changes;
  • Third-party system failures; or
  • Delays outside Pro Digitech’s reasonable control.

Where Pro Digitech is legally liable in connection with a particular Service, its aggregate contractual liability should, to the fullest extent permitted by applicable law and subject to any mandatory legal rights, be limited to the professional service fees actually paid to Pro Digitech for the specific Service giving rise to the claim.

Third-party, government and advertising charges collected or transferred on behalf of the Client should not ordinarily be treated as Pro Digitech’s professional service fees for the purpose of calculating such a limit.

Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law, including liability arising from fraud, wilful misconduct or any other liability that cannot legally be restricted.


32. CLIENT INDEMNITY

To the extent permitted by applicable law, the Client shall be responsible for losses, claims, liabilities or third-party demands caused by:

  • Unlawful Client instructions;
  • Fraudulent Client documentation;
  • Intellectual-property infringement in Client-supplied materials;
  • Illegal products or services;
  • Misleading Client representations;
  • Client misuse of Deliverables; or
  • Material breach of these Terms.

This provision does not require the Client to indemnify Pro Digitech for liability caused by Pro Digitech where such liability cannot legally be transferred.


33. SUSPENSION OF SERVICES

Pro Digitech may suspend Services where reasonably necessary due to:

  • Non-payment;
  • Missing documentation;
  • Client inactivity;
  • Security concerns;
  • Suspected fraud;
  • Illegal instructions;
  • Regulatory concerns;
  • Abusive conduct;
  • Material breach of agreement; or
  • Circumstances making continued performance unlawful or impracticable.

Where appropriate, Pro Digitech will provide reasonable notice and an opportunity to remedy the issue.


34. TERMINATION

Either party may terminate an ongoing engagement according to the termination provisions in the relevant Proposal or service agreement.

Where no specific termination procedure exists, either party may provide reasonable written notice, subject to outstanding obligations.

Termination does not automatically cancel:

  • Fees for Services already performed;
  • Approved expenses;
  • Third-party commitments;
  • Government charges already incurred;
  • Outstanding invoices;
  • Confidentiality obligations;
  • Intellectual-property provisions; or
  • Other provisions intended to survive termination.

35. FORCE MAJEURE

Neither party will be responsible for delay or failure caused by events beyond its reasonable control, to the extent permitted by applicable law.

Such events may include:

  • Government action;
  • Natural disasters;
  • War;
  • Civil disturbance;
  • Major telecommunications failures;
  • Internet outages;
  • Cyber incidents affecting independent infrastructure;
  • Utility failures;
  • Platform outages;
  • Labour disruptions;
  • Public-health emergencies; or
  • Other comparable events outside reasonable control.

The affected party should take commercially reasonable steps to mitigate the impact.


36. WEBSITE INFORMATION

Information on the Website is provided for general commercial and informational purposes.

Pro Digitech may update:

  • Service descriptions;
  • Website content;
  • Offers;
  • Processes;
  • Packages; or
  • Other information

from time to time.

Website information should not override a specifically accepted Proposal or written agreement.

Clients should request current information before making material decisions where requirements may have changed.


37. THIRD-PARTY LINKS

The Website may contain links to independent websites or services.

A link does not automatically mean that Pro Digitech endorses or controls the third party.

Clients access external websites subject to the relevant third party’s own terms, privacy policies and security practices.


38. PROHIBITED USE

The Client must not use Pro Digitech’s Website or Services:

  • For unlawful purposes;
  • To commit fraud;
  • To provide forged documents;
  • To misrepresent identity;
  • To violate intellectual-property rights;
  • To introduce malicious code;
  • To interfere with systems;
  • To facilitate prohibited activities; or
  • In any manner contrary to applicable UAE law.

Pro Digitech may refuse Services where an intended activity appears unlawful or outside the scope of its permitted business activities.


39. NO PARTNERSHIP, AGENCY OR EMPLOYMENT

Unless expressly agreed otherwise in writing, these Terms do not create:

  • A partnership;
  • Joint venture;
  • Employment relationship;
  • Fiduciary relationship; or
  • General agency relationship

between Pro Digitech and the Client.

Commercial Brokerage Services involving introductions or facilitation do not by themselves make Pro Digitech a party to an agreement concluded directly between a Client and an independent third party.


40. ASSIGNMENT

The Client may not transfer material rights or obligations under an active service agreement without Pro Digitech’s prior written consent where such consent is reasonably required.

Pro Digitech may use employees, contractors or appropriate Third-Party Providers to assist with the delivery of Services while remaining responsible for its own contractual obligations to the extent required by law and the agreed scope.


41. SEVERABILITY

If any provision of these Terms is found by a competent authority to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent legally permitted.

The invalid provision should be interpreted or replaced as closely as legally possible to achieve its intended commercial purpose.


42. WAIVER

Failure by either party to immediately enforce a contractual right does not automatically constitute a permanent waiver of that right.

A waiver relating to one breach does not automatically waive future breaches.


43. ENTIRE AGREEMENT

These Terms together with any applicable Proposal, quotation, invoice, service agreement, statement of work or other expressly incorporated document constitute the agreement relating to the relevant Services.

Statements or representations not incorporated into the agreed documents should not override the written scope unless subsequently agreed in writing.


44. CHANGES TO THESE TERMS

Pro Digitech may update these Terms from time to time to reflect changes in:

  • Business operations;
  • Services;
  • Technology;
  • Third-party arrangements;
  • Regulatory requirements; or
  • Commercial practices.

The updated version will display a revised “Last Updated” date.

Material changes affecting an existing active engagement will apply subject to applicable law and any separately agreed contractual terms.


45. GOVERNING LAW AND JURISDICTION

These Terms and Services shall be governed by the applicable laws of the United Arab Emirates, subject to any mandatory laws or jurisdictional requirements that apply to the particular transaction.

Unless a separate written agreement specifies otherwise, disputes shall be submitted to the courts having competent jurisdiction in Dubai Aviation City Corporation.

Before commencing formal proceedings, the parties should, where reasonably possible, attempt in good faith to resolve commercial disputes through written discussions.

Nothing in this section prevents either party from seeking urgent legal relief where necessary.


46. LANGUAGE

These Terms may be made available in more than one language.

Where multiple versions are provided, the controlling version should be specified by Pro Digitech and reviewed for compliance with any mandatory language requirements under applicable law.

The following section is an internal publishing checklist and should be removed from the public Terms once the matters have been verified.

Before publication, Pro Digitech should obtain appropriate professional confirmation of the following:

  1. Exact Legal Entity Name
    Insert the complete company name exactly as recorded on the UAE trade licence.
  2. Trade Licence Number
    Insert and verify the current trade licence number.
  3. Licensing Authority
    Insert the exact authority responsible for issuing the commercial licence.
  4. Registered Address
    Confirm the company’s official registered address.
  5. Jurisdiction Clause
    Confirm the appropriate Emirate and court jurisdiction for Section 45.
  6. VAT, Tax Filing & Accounting Delivery Model
    Confirm precisely which activities Pro Digitech performs internally and which activities are performed or reviewed by appropriately qualified or licensed Third-Party Providers.
  7. Banking & Compliance Scope
    Confirm that the final advertised Banking & Compliance services remain within Pro Digitech’s permitted consultancy, coordination and/or commercial activities and do not require additional financial regulatory authorisation.
  8. Commercial Brokerage Scope
    Confirm the permitted scope of Commercial Brokerage Services under Pro Digitech’s exact licence and verify that any particular commercial brokerage service advertised by Pro Digitech falls within that activity.
  9. Specialised Brokerage Activities
    Do not advertise or describe Pro Digitech as conducting financial, investment, securities, insurance, real-estate or another specifically regulated brokerage activity unless the relevant separate authorisation has been verified.
  10. PRO / Immigration / Government Coordination
    Confirm whether any particular government-service or PRO activity requires additional registration, authorisation or use of an approved Third-Party Provider.
  11. Refund Policy
    Align Section 16 with the company’s actual cancellation and refund procedures and applicable UAE consumer requirements.
  12. Limitation of Liability
    Have UAE legal counsel verify the enforceability and appropriate monetary cap under Section 31 based on Pro Digitech’s Client profile and contracting model.
  13. Consumer vs Business Clients
    Determine whether Pro Digitech primarily contracts with consumers, businesses or both and adjust mandatory consumer-right provisions if necessary.
  14. Privacy & Data Protection
    Ensure that Pro Digitech has a separate Privacy Policy consistent with the personal information collected through website forms, advertising campaigns, analytics, WhatsApp, company-formation applications and other systems.
  15. Electronic Communications
    Confirm how contractual notices, electronic acceptance, WhatsApp communications and electronic signatures will be treated operationally.
  16. Third-Party Commissions
    Establish an internal procedure for disclosure of brokerage, referral or introduction fees where disclosure is legally or contractually required.
  17. Tax Registration Details
    If Pro Digitech is VAT registered and VAT details are intended to appear in contractual documents, verify the Tax Registration Number before publication.

Company Formation is provided primarily through consultancy, assistance, documentation support and coordination associated with Management Consultancies.

Website Development & Designing corresponds with Web-Design & Development.

Digital Marketing corresponds with Digital Marketing.

eCommerce Services corresponds with E-Commerce Services.

VAT, Tax Filing & Accounting must be limited to activities Pro Digitech may lawfully perform and, where necessary, supported through appropriately qualified or licensed independent professionals.

Banking & Compliance consists of consultancy, documentation assistance, coordination and/or introductions according to the agreed scope. Pro Digitech is not represented as a bank or financial institution.

Commercial Brokerage Services is a licensed activity but must not be represented as a specialised regulated brokerage category unless separate authorisation exists.

No government approval, banking approval, advertising performance, search ranking, marketplace approval, tax outcome or other third-party regulatory or commercial outcome is guaranteed.
